SpecterAI Terms of Use

PLEASE READ THESE TERMS CAREFULLY. By creating an account, subscribing, or otherwise accessing or using the SpecterAI online education platform (the “Service”), you acknowledge that you have read and understood these Terms of Use (the “Terms”) and agree to be bound by them, as well as by our Privacy Policy and any other policies referenced herein. If you do not agree with these Terms or are not eligible to use the Service, you must not use the Service. Your use of the Service constitutes acceptance of these Terms as a binding agreement between you and SpecterAI, Inc. (“SpecterAI,” “we,” “us,” or “our”).

Arbitration Notice: These Terms require that most disputes be resolved by binding individual arbitration and include a waiver of your right to a jury trial and to participate in class actions or class-wide proceedings. Please see Section 19 for more details.

1. Acceptance of Terms

1.1 Legal Agreement.

These Terms form a legally binding agreement between you and SpecterAI, Inc., a Delaware corporation, governing your access to and use of the Service (including our website at specterai.ai, any related mobile or desktop applications, and all content, functionalities, and services provided through them). By using the Service, clicking “I Agree,” or similar, you confirm that you accept these Terms. If you do not agree, you have no right to use the Service.

1.2 Incorporated Policies.

These Terms incorporate by reference our Privacy Policy (which explains how we collect, use, and protect your personal information) and any other additional terms and guidelines that we may post in relation to specific features of the Service. All such policies are part of these Terms. In the event of a conflict between these Terms and additional terms for a specific feature, these Terms will govern unless the additional terms expressly state otherwise.

1.3 Electronic Communications.

By using the Service, you consent to receive communications from us electronically, such as via email or in-Service notifications. You agree that any notices, agreements, or other communications that we send to you electronically satisfy any legal communication requirements, including that such communications be in writing.

2. SpecterAI Service Overview

2.1 Service Description.

SpecterAI is an online, and may also include hybrid or offline components of, structured computer science education and related professional development programs delivered through a subscription-based platform. The Service provides you with access to a comprehensive curriculum, which may be offered in 12-month or alternative program lengths, and may consist of interactive lab exercises, instructional content, live or recorded lectures, workshops, seminars, mentoring sessions, coaching, or other educational services, and assessments. Over the course of the program (the “Program”), you may complete hands-on coding labs, periodic quizzes, capstone projects, collaborative assignments, research modules, practicums, or other learning activities, culminating in an exam or other evaluation method, which may be administered by an AI system, a third-party proctor, or an instructor. Upon successful completion of the Professional Program requirements, you will be awarded a SpecterAI diploma, certificate of completion, badge, transcript, micro-credential, or other recognition of achievement, as specified for the Program.

2.2 Features and Functionality.

The Service includes a guided, lab-based learning path where you receive 8 lab credits per billing cycle. Each lab credit allows you to access and submit one lab assignment or project during that monthly cycle. Lab credits refresh with each monthly subscription period and do not roll over – any unused lab credits expire at the end of the billing cycle. The Program is designed to be completed within 12 months from your enrollment date. While your subscription may continue beyond 12 months if not canceled, SpecterAI reserves the right to conclude or suspend your Program access after 12 months of enrollment. Extensions or re-enrollment may be required if you do not finish within the 12-month window, at SpecterAI’s discretion.

2.3 Assessments and Diploma.

Throughout the Program, you will have opportunities to test your knowledge via quizzes and assignments. The Service uses automated grading and may include AI-generated feedback on your performance. Upon successful completion of the final Professional Lab, you will be awarded a diploma. Important: The SpecterAI diploma is a certificate of completion issued by SpecterAI – it is not an accredited academic degree and may not be recognized as a formal credential by employers or educational institutions. SpecterAI makes no representations or guarantees regarding the acceptance of its diploma by third parties, or any particular outcomes (such as job placement or advancement) resulting from its Program.

2.4 Diploma Issuance.

Upon successful completion of all Program requirements, including the final Professional Lab and all required laboratory assignments, you will be deemed to have completed the Program and will be eligible to receive the SpecterAI diploma. The diploma will be provided electronically at no additional charge. You may request a printed copy of the diploma for a fee. SpecterAI reserves the right to withhold or revoke a diploma in cases of misconduct, violation of the Honor Code, or breach of these Terms.

3. Eligibility

3.1 Minimum Age Requirement.

You must be at least 16 years old to create an account or use the Service. By registering, you represent and warrant that you meet this minimum age requirement and are legally capable of entering into these Terms. SpecterAI does not knowingly allow anyone under 16 to use the Service. If you are under the age of majority where you reside (typically 18 years old), you should review these Terms with a parent or legal guardian to ensure you understand them, and you may use the Service only with the consent of and under supervision by your parent or guardian. You are responsible for complying with any age-related laws in your jurisdiction regarding online services and digital consent.

3.2 Other Eligibility Criteria.

By agreeing to these Terms, you further represent that: (a) you have not been previously suspended or removed from the Service for any reason; and (b) your registration and use of the Service is in compliance with all applicable laws and regulations. You will not use the Service if any applicable law in your country prohibits you from doing so. If you are using the Service on behalf of an organization (for example, as an instructor or administrator of a training program), you represent that you have the authority to bind that organization to these Terms, and you agree to these Terms on behalf of the organization.

4. Accounts and Registration

4.1 Account Creation.

To access most features of the Service, you must create a SpecterAI account. When registering, you agree to provide accurate, current, and complete information about yourself as prompted by the registration process (such as your full name, valid email address, date of birth, and country of residence). You also agree to keep your account information updated and accurate at all times. Providing false information or impersonating another person is prohibited.

4.2 Account Security.

You are responsible for maintaining the confidentiality of your account login credentials. You must not share your account or password with anyone else, and you agree to take reasonable steps to protect your account from unauthorized access. You are responsible for all activities that occur under your account, whether or not you authorized them. If you believe that your account has been compromised or accessed without authorization, you must notify us immediately at support@specterai.ai. SpecterAI will not be liable for any loss or damage arising from your failure to secure your account.

4.3 Single Account Policy.

Each user may maintain only one personal account for the Service. Creating multiple accounts to circumvent restrictions, gain additional lab credits, or for any other unauthorized purpose is prohibited. The only exception is if SpecterAI explicitly approves a secondary account for a specific program (for example, if you are provided a separate account through an employer-sponsored arrangement). Using another person’s account or allowing another person to use your account is also strictly prohibited.

4.4 Account Use by Minors.

As noted in Section 3.1, if you are under 18 (or under the age of legal majority in your location) but at least 16, you may use the Service only with involvement of a parent or guardian. The account should be registered by the parent/guardian or with their consent. SpecterAI reserves the right to request verifiable parental consent for users under the age of majority and to close accounts (with a refund for any remaining full months paid) if such consent is not provided when required by law.

5. Subscription and Billing

5.1 Subscription Plans.

SpecterAI operates on a subscription model. By subscribing to the Service, you agree to pay the monthly subscription fee (plus any applicable taxes) and any other charges described at the time of enrollment, in exchange for access to the SpecterAI Program and platform. Each monthly subscription period (a “Billing Cycle”) entitles you to use the Service for one month and provides up to eight (8) lab credits for that period as described in Section 2.2. Unused lab credits expire at the end of each Billing Cycle and do not carry forward. Subscription fees are charged in advance and are non-refundable, subject only to the limited exceptions set forth in these Terms or as required by law. This means that once you have been billed for a month, you will not receive a refund or credit for any unused time or unused lab credits in that billing period if you decide to cancel or if you are removed for misconduct.

5.2 Auto-Renewal and Payment Authorization.

By enrolling in a SpecterAI subscription, you expressly authorize us (or our third-party payment processor) to charge your provided payment method for the monthly fee at the start of your Initial Subscription term and automatically at the start of each subsequent monthly renewal term until you cancel. Your subscription will auto-renew each month on the same day of the month as your sign-up date (or the last day of shorter months) and your payment method will be charged at that time, without further action by you, unless you cancel beforehand. You acknowledge that there is no way to disable this automatic renewal feature except by timely cancelling your subscription. If you do not wish to renew, you must cancel before the next billing date (see Section 5.5 on Cancellation).

5.3 Payment Processing and Information.

All subscription payments are handled through authorized third-party payment processors. You must provide a current, valid payment method (such as a credit card or PayPal account) when subscribing, and you authorize SpecterAI and its payment processors to charge that payment method for all fees due (including future renewals) in accordance with your subscription plan. SpecterAI does not directly collect or store your full credit card number or payment account credentials; such information is provided by you to the payment processor, and its use is governed by their terms and privacy policy. We only receive limited information necessary to record your subscription and process payments (e.g., your billing name, card expiry, and confirmation of payment). By providing a payment method, you represent that you are authorized to use that method and that our payment processor is permitted to charge it as described in these Terms.

5.4 Billing, Taxes, and Price Changes.

All fees are stated and charged in United States Dollars (USD). You are responsible for any sales, use, value-added, or other taxes that apply to your subscription, and such taxes will be charged in addition to the base subscription price if applicable (unless you provide sufficient evidence of tax-exempt status). We reserve the right to modify the subscription fee for future renewal periods, but we will provide advance notice to your account email or via the Service of any price increase. Any such change will take effect no sooner than the next billing cycle after the notice. If you do not agree to a price change, you must cancel your subscription prior to the next renewal; otherwise, the new price will be charged for subsequent renewals.

5.5 Cancellation Policy.

You may cancel your subscription at any time by accessing your account settings or by contacting SpecterAI Support. Cancellations take effect at the end of the current paid Billing Cycle – you will retain access to the Service until the current paid period expires, and you will not be billed for further renewal periods after cancellation. Please note that partial-month refunds are not offered. For example, if you cancel in the middle of a month, you will not receive a refund for the remaining days of that month. To avoid being charged for the next month, you must cancel before your subscription’s monthly renewal date. Upon cancellation, or if a renewal payment is not received, your access to paid features (including lab credits and assessments) will cease at the end of the last paid period.

5.6 Failed Payments and Delinquent Accounts.

It is your responsibility to ensure that your payment information is up to date. If we are unable to process payment for a renewal due to an expired or invalid card, insufficient funds, or otherwise, we will attempt to notify you (e.g., via email). If payment is not received within a short grace period, SpecterAI may suspend or terminate your access to the Service for non-payment. In such case, we may also permanently close your account and delete your program data if the balance remains unpaid, without liability for any data loss. SpecterAI reserves the right to charge late fees or recover costs associated with collecting overdue amounts, where permitted by law. If your account is terminated for non-payment and you later re-subscribe, you may be treated as a new enrollee and previous progress may not be restored (“restart” conditions). We are not obligated to maintain your course progress, credits, or records if your access lapses due to non-payment.

5.7 No Refunds; Extenuating Circumstances.

Except as explicitly provided in these Terms or required by law, all fees are non-refundable. This means that if you cancel or are terminated part-way through a month, or if you fail to use the Service, you are not entitled to a refund for any unused portion of time or services. SpecterAI may, in its sole discretion, consider a refund or credit in cases of documented extreme hardship or error (e.g. a duplicate charge), but is under no obligation to do so. If you believe you have grounds for a refund as required by applicable law, you may contact billing@specterai.ai for review. Any approved refunds will be issued to the original payment method whenever possible.

5.8 Promotions and Free Trials.

SpecterAI may occasionally offer limited-time free trials or promotional discounts for new subscribers. Any such offers are subject to these Terms as well as any additional terms specific to the promotion. Free trials are intended for new users only; SpecterAI reserves the right to revoke trial access if we determine you are not eligible (for example, creating multiple accounts to obtain multiple free trials is a violation of these Terms). At the end of a free trial, if you have provided payment details, your subscription will automatically convert to a paid subscription and your payment method will be charged the regular fee for the next month unless you cancel before the trial ends. Promotional discounts apply only for the specified discount period; after that, regular fees will apply.

6. Program Participation and Lab Credits

6.1 Program Access Period.

Your subscription grants you access to the SpecterAI Program content and platform on an ongoing basis, one month at a time, as long as your account remains in good standing. The Program is structured to be completed in approximately 12 months of study. You acknowledge and agree that SpecterAI may consider your Program enrollment to lapse if you have not completed the curriculum within 12 months of your start date. In such cases (or if your subscription is interrupted for a significant time), SpecterAI may require you to re-enroll in the Program from the beginning to ensure up-to-date competency. We encourage you to progress steadily through the coursework to finish within the 12-month window.

6.2 Lab Credits Usage.

As noted, each active month of subscription provides you with eight (8) lab credits. A “lab credit” entitles you to access and submit one guided lab assignment or project on the platform. Once you use a lab credit to begin a lab, it is deducted from your balance for that Billing Cycle. Unused lab credits expire at the end of each Billing Cycle and do not accumulate or roll over to future months. If you exhaust your 8 lab credits before a month ends, you will need to wait until your next monthly cycle (or purchase an additional subscription for that period, if such an option is offered) to continue with further labs. This system is designed to pace the Program and encourage consistent engagement. Attempting to circumvent the lab credit system (for example, by creating multiple accounts or any technical workaround) is a violation of these Terms.

6.3 Lab Assignments and Projects.

Labs are integral to the learning process on SpecterAI. You are expected to complete each lab assignment on your own (except to the extent group work or external resources are expressly permitted by the assignment). Lab submissions may be automatically graded by the system and/or reviewed by SpecterAI staff or algorithms. You will receive feedback and must meet certain performance criteria on labs to advance in the Program. If you do not pass a lab, you may be allowed to retry it (using another lab credit) or given alternate remedial steps, at SpecterAI’s discretion. No external solutions: You must not use publicly posted solutions or solicit answers for lab assignments from others. Sharing lab solutions or answer code with other users (or posting them publicly) is strictly prohibited and may result in corrective action (see Section 8.4).

6.4. Grading of Laboratory Assignments.

Laboratory assignments submitted through the Service are evaluated by an automated grading system. Each submission is assessed on three components: (i) accuracy of required computations and outputs, (ii) inclusion of a concise interpretive explanation of results, and (iii) reproducibility and proper execution of the submitted notebook. Scores are assigned on a one-hundred (100) point scale. A laboratory assignment will be deemed a “Pass” only if the total score is at least seventy percent (70%) and the decision logic required by the assignment is correctly applied; all other submissions will be deemed a “Fail.” Participants will receive automated email notifications detailing scores, expected versus observed results, and suggested areas for improvement. Any separate written mathematical assignment, where applicable, is not evaluated through this automated grading process.

All grading determinations, including Pass/Fail status, are final and binding and may not be appealed, except as expressly permitted by SpecterAI in its sole discretion. Grading results and related notifications are provided on an “as-is” basis for educational purposes only. SpecterAI makes no representations or warranties regarding the accuracy, timeliness, or completeness of grading determinations and disclaims all liability for any reliance placed on such results. You are solely responsible for ensuring that your submissions are properly uploaded in the format required by the Service, and SpecterAI is not responsible for any failure, corruption, delay, or loss of submissions or grading results due to technical issues, whether on your side, ours, or those of third-party providers.

SpecterAI may withhold, adjust, or revoke credit for any laboratory assignment if, in its sole discretion, it determines that your submission violates the Honor Code, these Terms, or any other applicable policies. A “Pass” designation on any individual laboratory assignment does not, by itself, guarantee issuance of a diploma or certificate; you must satisfy all Program requirements as determined by SpecterAI.

6.5 Time Commitment.

The Program is intensive and requires a significant time commitment (e.g., several hours per week) to complete successfully within 12 months. You are responsible for managing your schedule to complete modules, labs, and assessments in a timely manner. SpecterAI is not responsible if you fail to complete the Program within the recommended timeframe. While your subscription remains active, you will have access to all course materials, even if you fall behind schedule. However, note that content and requirements may be updated over time; if you significantly delay progress, you might face new or revised coursework when you resume. We reserve the right to retire or replace certain labs or modules as needed to improve the curriculum.

7. Diploma/Certificate of Completion

7.1 Certification and Diploma.

Upon successfully completing the final Professional Lab and completing all program requirements, you will be eligible to receive the SpecterAI certificate of completion (diploma). SpecterAI will issue this diploma electronically (as a digital certificate or PDF) bearing your name and the completion date. You may be given the option to request a printed copy for a fee. The diploma confirms that you have met SpecterAI’s standards for completion of the Program. Remember, this diploma is not an academic degree and SpecterAI is not an accredited educational institution. The diploma is for your personal and professional development purposes and its recognition is at the discretion of third parties. SpecterAI is not responsible for how employers, schools, or other entities interpret or value the certificate.

7.2 Diploma Revocation.

SpecterAI reserves the right to withhold or revoke your certificate if any academic integrity violations or Terms of Use breaches are discovered in connection with your work, even if the violations come to light after you have completed the Program. For example, if it is determined that you cheated or plagiarized project work, SpecterAI may revoke your diploma, at its sole discretion. In such an event, you will be notified and, if appropriate, given an opportunity to appeal or explain. No refund will be issued if a diploma is revoked due to misconduct.

8. User Conduct and Academic Integrity

8.1 General Code of Conduct.

You agree to use the Service in a responsible manner and to respect others in the SpecterAI learning community. You may not engage in any harassing, threatening, bullying, discriminatory, or abusive behavior toward any other user, SpecterAI staff, or any member of the community. This includes any communications via our forums, chat, or other channels. You further agree not to post or transmit any content that is obscene, defamatory, infringing, or otherwise unlawful. SpecterAI may have public or peer communication features (forums, comments, etc.); these are intended for educational discussion and collaboration consistent with the Program. You must not use them for commercial advertising, spamming, or unrelated solicitations. We reserve the right to remove any user-generated content that violates these standards and to suspend or terminate accounts for serious or repeated misconduct.

8.2 Academic Integrity – Honor Code.

SpecterAI is committed to fostering an environment of honesty and academic integrity. By enrolling in the Program, you agree to adhere to the following Honor Code rules (our core academic integrity principles) in all your coursework and interactions on the platform:

  • Do Your Own Work: You will complete all assessments, quizzes, labs, projects, and any exams on your own, using only the resources and tools explicitly permitted for that assignment. Unless collaboration is expressly allowed, you will not copy from or collaborate with any other person or use unapproved materials. This also means you will not use unauthorized external help such as bots, AI models, or code-generation tools to produce answers or code for graded assignments, except where an assignment expressly allows use of certain tools.
  • One Account: You will maintain only one SpecterAI account for your personal use in the Program. You will not create multiple accounts or impersonate others.
  • Protect Your Credentials: You will not share your login credentials with anyone or let another person access the Service through your account. Similarly, you will not use someone else’s account. Your work must be truly your own.
  • No Cheating: You will not engage in any activity that dishonestly improves your results or harms the results or experience of others. This includes but is not limited to: attempting to hack or disrupt the grading system; falsifying project work or data; or seeking advance access to exam content. You will also refrain from assisting other users in cheating (for example, by sharing your solutions or doing work on their behalf).
  • Do Not Share Answers or Exam Content: You will not post, publish, or otherwise share any solutions, answers, exam questions, or other confidential assessment content with anyone – either during your enrollment or afterwards. This prohibition includes posting answers on external websites, forums, or social media, and sharing content with future or prospective students. The integrity of the assessment process depends on maintaining confidentiality of these materials.

By upholding these rules, you help maintain the value of the learning experience and the credibility of the certification. These Honor Code commitments mirror those of other reputable online education platforms.

8.3 Use of External Resources.

SpecterAI encourages learning and researching, but when it comes to graded activities, you must abide by the limitations provided. Unless explicitly stated, the use of external code libraries, third-party solutions, or generative AI tools (such as external AI coding assistants or ChatGPT) to complete assignments or exams is considered an unauthorized aid and a violation of the Honor Code. If you are unsure whether a particular resource is allowed, you should ask an instructor or assume it is not permitted. Some modules might allow or even encourage use of certain resources (for instance, using an online API or open-source library as part of a project); in those cases, such use is allowed only within the scope of that assignment’s instructions. In all cases, you must clearly attribute any permitted external code or content that is not your original work. Failure to attribute permitted external sources (thereby presenting someone else’s work as your own) is plagiarism and will be treated as a violation.

8.4 Violations and Enforcement.

If you are found to be in violation of the Code of Conduct or Honor Code, SpecterAI may take one or more of the following actions (without refund):

  • Receive a zero score or no credit on an assignment or exam where misconduct occurred.
  • Fail the module or be required to re-complete certain coursework.
  • Have any certificate or diploma withheld or revoked (even if already issued).
  • Be suspended or removed from the Program or a particular course.
  • Termination of your SpecterAI account and expulsion from the Service entirely.

The action taken will depend on the seriousness of the violation and is at SpecterAI’s sole discretion. Minor first-time infractions may receive a warning, whereas deliberate cheating or repeated misconduct will typically result in immediate termination. No refunds will be given for any subscriptions terminated due to misconduct or Honor Code violations. In addition, SpecterAI reserves the right to prohibit you from future enrollment in any of our services if you have been removed for misconduct.

You will be notified if SpecterAI believes you have violated the Honor Code or these Terms, and we may provide you an opportunity to respond or explain (especially if there might be a misunderstanding). However, any decision by SpecterAI regarding violations and consequences shall be final and binding. SpecterAI and its staff (and any automated systems in use) have sole discretion to interpret and enforce the Honor Code.

8.5 Academic Inquiries and Appeals.

If you believe you have been incorrectly accused of a violation or you have other concerns about academic integrity enforcement, you may contact honorcode@specterai.ai to inquire or appeal. Include relevant details and any supporting evidence. SpecterAI will review good-faith appeals and respond as appropriate. This provision does not guarantee reversal of any decision; it is an opportunity for you to provide context or correct an error. The ultimate resolution of any appeal will be communicated to you and is at SpecterAI’s discretion.

9. Acceptable Use and Technical Requirements

9.1 Permitted Use of Service.

Subject to your compliance with these Terms (including payment of subscription fees), SpecterAI grants you a limited, personal, non-transferable, non-exclusive, revocable license to access and use the Service and its content for your own personal, non-commercial educational purposes. You may download or print materials from the Service only for your personal use in connection with the Program. You may not otherwise copy, distribute, modify, publicly perform, share, or create derivative works from any portion of the Service except as expressly permitted by SpecterAI or by law (such as under fair use). This license will terminate upon any termination of your account or these Terms.

9.2 Prohibited Conduct.

You agree not to misuse the Service or help anyone else to do so. In using SpecterAI, you shall not:

  • Use the Service for any unlawful purpose, or in violation of any local, state, national or international law or regulation.
  • Introduce any malware, virus, Trojan horse, or other harmful software or code into the Service, or attempt to disrupt or tamper with the Service.
  • Attempt to gain unauthorized access to any accounts, servers, systems or data of SpecterAI (or its users), or probe, scan, or test the vulnerability of any system or network, or breach any security or authentication measures.
  • Use any automated means (such as bots, scrapers, or spiders) to access the Service, collect information, or otherwise interact with the Service, unless explicitly authorized by SpecterAI. Indexing by recognized search engines is permitted for publicly available portions of our website.
  • Interfere with or disrupt the access of any user, host, or network to the Service (for example, by generating excessive traffic, launching a denial-of-service attack, or attempting to overload the system).
  • Impersonate any person or entity, or misrepresent your affiliation with a person or entity, or forge/manipulate headers or identifiers to disguise the origin of content.
  • Use the Service to store or transmit any content that is obscene, libelous, or otherwise objectionable (aside from SpecterAI-provided course materials).
  • Infringe intellectual property or privacy rights, including reverse engineering, decompiling, or deriving source code, or using SpecterAI content outside the scope of personal learning.
  • Circumvent or attempt to circumvent technical measures that enforce these Terms or secure the Service.
  • Use the Service if barred under applicable laws (e.g., U.S. sanctions or restricted parties lists).

SpecterAI reserves the right to monitor for any such prohibited conduct and to enforce these rules as described in Section 8.4 and Section 15.

9.3 Technical Requirements.

Using the SpecterAI Service requires appropriate technology on your side. You are responsible for procuring and maintaining the hardware, software, and network access necessary to use the Service. At a minimum, you will need a modern web browser (we recommend the latest version of Chrome, Firefox, or Safari) and a reliable internet connection. Some course components may involve streaming video or downloading files, so broadband internet is highly recommended. You will also need a computer capable of running our web-based coding environment or any required software (system requirements will be provided in the course documentation, but generally, a standard PC or Mac from the last 5 years should suffice). For any AI-proctored exam, you must have a functioning webcam, microphone, and a stable internet connection. We may run system checks prior to the exam to ensure compatibility. It is your responsibility to ensure your equipment is working properly before starting an exam; technical failures on your side might be treated as a failed attempt if they are not promptly resolved.

9.4 Updates and Functionalities.

The Service (including the website and apps) will be updated from time to time to fix bugs, improve security, or add features. You agree to accept such updates. We do not guarantee that the Service will function on every device or with every configuration – compatibility may change as we update our platform. We also do not guarantee that any specific feature or content will always be available; certain content may be removed or modified as we refine the curriculum. We will endeavor to minimize disruptions and give notice if major changes will affect your use.

9.5 No Technical Support Guarantee.

While SpecterAI may provide user support (via email or chat) for technical issues, we are under no obligation to provide technical support and do not guarantee that any support will resolve your issues. Use of the Service is at your own risk and is provided on an “as is” basis (see Section 16). That said, we strive to ensure the platform is functional and will attempt to assist with any platform-related difficulties you encounter in good faith.

10. AI-Powered Features and Content Disclaimer

10.1 AI-Generated Content.

SpecterAI incorporates artificial intelligence (“AI”) and machine learning features in various parts of the Service. For example, the platform may provide AI-generated hints, explanations, or code review feedback for your lab assignments, and the proctoring of exams is AI-assisted. You acknowledge that any content or output provided by an AI feature is generated by an algorithm and not a human, and as such, it may occasionally be incorrect, incomplete, or misleading. SpecterAI makes no guarantee as to the accuracy, truthfulness, or completeness of AI-generated responses or content. You should apply your own judgment and, where appropriate, double-check the AI’s suggestions or answers against reliable sources. The AI features are tools to aid your learning, but they are not a substitute for your own understanding or for professional advice. If you notice an AI-generated output that seems wrong or problematic, please report it to us so we can improve the system.

10.2 No Reliance on AI for Decisions.

Any recommendations or outputs from the AI (for example, explanations of code, debugging advice, or any educational guidance) are for informational purposes only. SpecterAI is not responsible for any actions you take in reliance on AI outputs. For instance, if an AI-based hint suggests a particular solution approach, it is still your responsibility to ensure that approach is correct and to test it. We strongly encourage you not to use AI outputs from the Service for purposes beyond your learning on SpecterAI, especially not for critical tasks or decisions outside the platform.

10.3 AI and Academic Integrity.

Our AI features are designed to assist learning, not to do your work for you. You agree that you will not misuse AI tools to violate the Honor Code – e.g., by having an AI generate your assignment answers. We may implement technical measures to limit such misuse and to detect AI-generated submissions. Moreover, if an assignment or exam forbids external assistance, that includes not using external AI tools beyond what is integrated into the SpecterAI platform. Any AI assistance provided within SpecterAI (for example, an optional AI mentor chatbot) should be used in accordance with the assignment rules. If you use an AI mentor to understand a concept, that’s fine; but using it to directly get an answer on a graded question is cheating, unless explicitly allowed.

10.4 Use of User Data for AI Training.

You acknowledge and agree that SpecterAI may use data from your interactions with the platform’s AI features (including questions you ask, code you write and submit, and how you respond to AI feedback) to train, improve, and refine our AI models and services. For example, we may analyze common errors made by students to improve our automated hints, or use recordings of any proctored exam sessions to enhance our proctoring algorithms’ accuracy. Any such use of your data will be done in accordance with our Privacy Policy – typically in an aggregated or anonymized manner such that it is not tied to your identity when used for AI training. By using the Service, you grant SpecterAI the right to use your interactions and content for these purposes as part of the license in Section 13, and you understand that no additional compensation is owed to you for such use. If we ever want to publicly disclose any portion of your submissions or personal data for these purposes, we would seek your consent or anonymize the data.

10.5 Transparency and Improvements.

SpecterAI will disclose, via these Terms or in-line notices, where AI is being used in the Service (for instance, if a chat reply or feedback is AI-generated, we will endeavor to label it as such). We are continuously working to improve our AI features, and we welcome feedback. However, given the evolving nature of AI technology, you agree that use of AI functions is at your own risk, and they are provided “as-is” without warranties (as further disclaimed in Section 16). We do not guarantee the AI will correctly identify cheating, nor catch every mistake in code, nor provide a perfect explanation every time. By continuing to use the Service with AI features enabled, you accept these limitations.

11. Privacy and Data Protection

11.1 Privacy Policy.

Your privacy is important to us. Our collection, use, storage, and disclosure of personal information through the Service are governed by our Privacy Policy, which is incorporated into these Terms by reference. We encourage you to read the Privacy Policy carefully, as it describes what data we collect from you (such as registration details, usage data, assessment results, etc.), how we use that data (e.g., to provide and improve the Service, facilitate learning, process payments, etc.), and the circumstances under which we may share it (for example, with third-party service providers like our payment processor). By using the Service, you consent to SpecterAI’s collection and use of your information as outlined in the Privacy Policy.

11.2 Data Security.

SpecterAI implements commercially reasonable technical and organizational measures to secure your personal information and user content from unauthorized access, loss, or misuse. However, no system can be 100% secure. You acknowledge that there are inherent risks in internet connectivity and data transmission, and we cannot guarantee absolute security of your data. You are responsible for maintaining the security of your own devices and login credentials (as noted in Section 4.2). Please notify us immediately if you suspect any unauthorized access to your data or account.

11.3 Payment Information.

As described in Section 5.3, we use third-party payment processors for handling financial transactions. SpecterAI itself does not store your full credit card number or bank account details. Financial information you provide at the point of purchase is sent directly to the payment processor over encrypted connections. These third parties are responsible for complying with Payment Card Industry (PCI) security standards and other applicable financial regulations. We generally receive only a confirmation of payment and limited details (like the last four digits of your card, a billing name, etc.). We do not have access to your full payment account numbers. If you have any questions about how our payment processor handles your data, please refer to their privacy policy (e.g., Stripe’s Privacy Policy, if Stripe is used).

11.4 Data Retention.

SpecterAI will retain your personal information and content for as long as necessary to fulfill the purposes of the Service and to comply with legal obligations or enforce our rights. For example, we may retain your course progress and submissions while your account is active and for a period after to allow reactivation or as part of our records. If you delete your account or if we terminate it, we may delete or anonymize your personal data within a reasonable period, except to the extent we need to keep it for legal reporting or dispute resolution purposes. Note that posts or content you have shared in community areas might remain visible to others even after your account is removed (we may anonymize the author). We will handle any personal data in such content in accordance with our Privacy Policy.

11.5 Third-Party Services and Links.

The Service may contain links to third-party websites or services (for example, an external IDE or documentation site), or integrate third-party tools (like an API or a cloud coding sandbox from another provider). If you follow third-party links or use third-party services through our platform, those third parties’ terms and privacy policies will govern your use of their services. SpecterAI is not responsible for the practices of third-party services. We encourage you to review their policies before using their services or providing them with personal data.

11.6 Children’s Privacy.

As noted, the Service is not directed to children under 16. We do not knowingly collect personal data from children under 16. If we learn that we have inadvertently collected such data, we will delete it. If you are a parent or guardian who believes your child under 16 has provided personal information to SpecterAI, please contact us and we will delete the information and (if applicable) terminate the child’s account.

11.7 Data Subject Rights (EU/EEA and Others).

Depending on your jurisdiction, you may have legal rights regarding your personal data. These may include the right to access a copy of your data, the right to correct or update inaccurate data, the right to request deletion of your data, the right to restrict or object to certain processing, and the right to data portability. Details for EU/EEA users are in Section 21. If you wish to exercise any applicable data rights, you can contact us at privacy@specterai.ai. We will respond in accordance with applicable law. Some rights may be subject to limitations (for example, we might not delete data that we are required to keep for legal reasons, or we might not provide certain data if doing so would adversely affect the rights of others).

12. User Content and License Grant

12.1 User Content Definition.

As part of using the Service, you may create, upload, post, submit, or share content to the platform. This includes, for example: code files or scripts you write for lab assignments, written answers or essays, project reports, contributions to discussion forums, profile information, feedback or reviews you provide about the course, and any other materials you submit or generate while using the Service (“User Content”). Your interactions through the AI features (like questions asked to an AI helper) and any exam recordings are also considered User Content (though for privacy-related aspects of recordings, see Section 11).

12.2 Ownership of User Content.

You retain any intellectual property rights that you hold in the User Content you create. SpecterAI does not claim ownership of the original content or code you submit in the course of your learning. Subject to the licenses you grant to us below, you are free to reuse your own code and creations outside the platform as you see fit. Bear in mind, however, that you may not include SpecterAI’s proprietary content (for example, the text of an exam question or the template code provided in a lab) in something you share publicly, as that content belongs to SpecterAI or its licensors. If you intend to publish or open-source a project you developed as part of the Program, ensure it doesn’t include or reveal SpecterAI’s non-public materials. If in doubt, contact us for guidance.

12.3 License Grant to SpecterAI.

In order for SpecterAI to operate the Service effectively and provide the educational features (such as grading, feedback, and certification), you grant SpecterAI a broad license to use your User Content. Specifically, by submitting or posting User Content to the Service, you hereby grant SpecterAI (and our affiliates and contractors working on our behalf) a worldwide, non-exclusive, royalty-free, fully-paid, irrevocable license to use, reproduce, host, store, reformat, modify, create derivative works from, analyze, transmit, distribute, and display your User Content as needed to provide and improve the Service. This includes, for example, the rights to:

  • Display or Perform: showing your submissions back to you (and, if applicable, to instructors or peer reviewers), running your code in our test environment, and displaying your forum posts to other authorized users.
  • Reformat and Modify: converting your content as needed for technical compatibility (e.g., generating thumbnails, or converting a document to PDF for grading), or making slight modifications for clarity in a forum (e.g., formatting code you posted for proper display). We will not alter the substantive meaning of your academic submissions except as part of automated grading processes.
  • Reproduce and Distribute: copying your content to multiple servers to ensure availability; saving backup copies; and transmitting your content through networks so that it can be graded or viewed as intended. If you post in a public forum on SpecterAI, distributing that content to all viewers of that forum is included.
  • Create Derivative Works: analyzing your performance (e.g., generating analytics), extracting anonymized snippets for inclusion in aggregate reports or tutorials (for instance, showing common mistakes and how to fix them), or using your content to improve our algorithms (as detailed in Section 10.4). Also, if you provide feedback or suggestions (see Section 12.6), we might incorporate those suggestions into the Service, which is a derivative use.

This license to SpecterAI is granted for the maximum duration permitted by law (or, if not legally perpetual, for the duration of the intellectual property rights in the content). It is irrevocable, meaning you cannot revoke the license to content you have already submitted; for example, if you leave the platform, we may retain copies of your submissions to maintain academic records or to improve our services. However, SpecterAI will stop displaying your User Content to other users (for instance, by disassociating your profile or removing posts) if you delete it or delete your account, except to the extent it’s been shared or it’s necessary for our internal purposes. Please note that if your User Content has been captured in backups or if other users have quoted or derived from it, we cannot always control those copies.

12.4 Limited Sharing of User Content.

SpecterAI will not share or publicly display your User Content outside of the Service except (a) with your consent; (b) in an anonymized or aggregated form (e.g., quoting an excerpt of many students’ code to illustrate a point in a blog post, without identifying details); or (c) as reasonably necessary to exercise the license rights you granted (for example, we might show your code to a contracted grader or use a trusted third-party plagiarism detection service that will receive your submission for comparison). We will never sell your personal User Content (like your submitted code or essays) to third parties. The license you grant us is primarily so we can grade your work, run the platform, and enhance the learning experience (including research and development). If SpecterAI ever seeks a broader use of user-provided content (like publishing exemplary projects with attribution), we would obtain permission from the relevant users.

12.5 Your Responsibilities for Your Content.

You are solely responsible for the User Content you provide. This means you need to ensure: (a) you have all necessary rights to submit the content and to grant the license in Section 12.3 (for example, you wrote the code yourself or have rights to any code you incorporated, and you’re not violating any confidentiality obligations by using it); and (b) your content does not violate any law or infringe any third-party rights (for instance, do not upload materials you don’t have permission to use, and do not include personal data of others without authorization, etc.). SpecterAI disclaims any liability for User Content (see Section 16). If you’re posting anything like images or third-party text within our forums or as part of an assignment, ensure it’s either public domain, open source, used under fair use/dealing, or you have permission. You agree that you will indemnify SpecterAI for any claims arising from your User Content (see Section 18). We reserve the right to remove or disable access to any User Content that we deem to violate these Terms or for any lawful reason, but we do not actively pre-screen content and are not responsible for it (see Section 12.7).

12.6 Feedback.

We appreciate feedback, comments, and suggestions from users as it helps improve our Service. If you choose to provide SpecterAI with any feedback or ideas (for example, suggestions to improve a course, reports of bugs, or requests for new features), you hereby grant SpecterAI an unrestricted, perpetual, irrevocable, sublicensable, fully-paid, royalty-free license to use and incorporate those suggestions or feedback in any manner and for any purpose, without any obligation to compensate you. This means we can use your ideas to improve the Service or create new offerings, and we are not required to credit you or seek your approval. Please do not send us feedback that you expect to be treated as proprietary or confidential; we also do not accept any unsolicited ideas for new courses or products outside of our formal feedback channels, to avoid misunderstandings.

12.7 Monitoring and Enforcement of Content.

SpecterAI is not obligated to monitor User Content, but we reserve the right to do so for purposes of operating the Service, to ensure compliance with these Terms, or to comply with law. Our systems may automatically screen certain submissions (e.g., for plagiarism or forbidden file types). We also may remove any User Content or deactivate any account at any time if we determine, in our sole judgment, that content or user violates these Terms or the law, or that removal is prudent to protect SpecterAI or other users. However, the presence of any content on the platform does not mean we endorse or have verified it. You acknowledge that, in using the Service, you may be exposed to content from other users that you find offensive or incorrect. SpecterAI is not responsible for user-posted content, and your sole remedy if you encounter such content is to report it to us and/or stop viewing it. We encourage users to help maintain community standards by reporting any content or conduct that you believe violates these Terms.

13. Intellectual Property Rights (SpecterAI Materials)

13.1 SpecterAI Content and Materials.

The Service (including all content provided by SpecterAI such as educational text, lectures, questions, software, images, videos, graphics, design, algorithms, code that we provide for labs, and the overall selection and arrangement of the foregoing) and all SpecterAI trademarks, logos, and trade names are the intellectual property of SpecterAI, Inc. or its licensors. All such materials are protected by copyright, trademark, and other intellectual property laws. Except for the limited usage rights expressly granted to you in these Terms, SpecterAI and its licensors retain all right, title, and interest in the Service and its content. You are not acquiring any ownership of SpecterAI content by using the Service or by paying subscription fees.

13.2 License to Use SpecterAI Content.

During the term of your valid subscription and subject to your compliance with these Terms, SpecterAI grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the SpecterAI content provided through the Service, solely for your personal educational, non-commercial use within the Service. This means you can view lectures, read materials, execute provided code, and otherwise use the content as intended for the course. You may also download materials that are explicitly made downloadable (e.g., PDF study guides or code templates) and keep them for your personal use. However, you must not: (a) copy or download any video lectures or substantial portions of course text that are not explicitly made available for download; (b) distribute or share any SpecterAI content (whether modified or unmodified) with anyone else; (c) publish any answers, solutions, or SpecterAI-provided problems; or (d) use the content to create derivative works that you share or use for any commercial purpose. For clarity: If you write original code or notes as part of your learning, that is your content as per Section 12, but the problem descriptions or any code base we provided to you are SpecterAI content. If you are unsure whether a use of content is permitted, please contact us.

13.3 License Restrictions.

Except as expressly permitted by these Terms or by law, you may not and you agree not to: (i) reproduce, redistribute, publicly display, or publicly perform any portion of the Service or the content provided therein; (ii) modify or create derivative works of the Service or its content; (iii) attempt to reverse engineer, decompile, or extract the source code of the Service or any software or tool provided through it (except to the extent such restriction is impermissible under applicable law); (iv) remove, obscure, or alter any copyright, trademark, or other proprietary rights notices on the Service’s content; (v) use any SpecterAI names or logos without our prior written consent; or (vi) use the content in any way that competes with or duplicates aspects of the Service (for example, using our materials to build a rival course). All rights not expressly granted to you are reserved by SpecterAI and its licensors.

13.4 Third-Party Materials.

Some courses may include references or links to third-party resources (like documentation, libraries, or tools), or even incorporate third-party open-source software components. Ownership of third-party content remains with the respective owners. Your use of third-party materials is governed by their respective terms. For instance, if we incorporate an open-source library in a lab environment, that library is under its own license which may grant you additional rights to use it outside SpecterAI. Nothing in these Terms limits your rights under the license terms of any open-source or third-party components included in the Service. Be aware that when you access an external link or tool (like a Git repository or an API service), you are leaving our Service and interacting with another provider, so you should review their terms and privacy policy.

13.5 Feedback on Content.

If you believe any content on the Service infringes your intellectual property or violates any law, or if you as a user identify errors or issues in our content, please notify us at legal@specterai.ai. SpecterAI respects intellectual property rights and expects users to do the same.

14. Termination and Suspension

14.1 Termination by You (Cancellation).

You may decide to stop using the Service and terminate your account at any time. You can do this by canceling your subscription (see Section 5.5) and additionally by requesting account deletion via your profile settings or by contacting customer support. Account deletion is irreversible – you will lose access to your progress and any earned credits or certificates if you delete your account. If you simply cancel your subscription but do not delete your account, we may retain your profile and data so that you can resume in the future, consistent with our Privacy Policy.

14.2 Termination or Suspension by SpecterAI.

We may suspend or terminate your account or access to the Service at any time, with or without notice, if we determine that: (a) you have breached any provision of these Terms or engaged in misconduct as described in Section 8.4; (b) you fail to pay any fees due (non-payment); (c) we are required to do so to comply with a legal demand (e.g., a court order or law enforcement request); or (d) we choose to discontinue the Service or your subscription plan. In some cases of minor breaches, we may give you a warning or opportunity to cure the breach before terminating, but we are not obligated to do so. If we suspend your account, you will not be able to access paid areas of the Service or may be restricted in certain features until the issue is resolved. If we terminate your account, your right to use the Service ceases immediately, and we may delete or anonymize your User Content and personal data (though we may retain certain records as noted in Section 11.4).

14.3 Effect of Termination.

Upon any termination of these Terms or your account, whether by you or by us: (i) your license to use SpecterAI content (Section 13.2) and all other rights granted to you hereunder will immediately end; (ii) you must cease all use of the Service and refrain from accessing it; (iii) you will lose access to any data or content in your account (so make sure to save any personal content you wish to keep beforehand, as post-termination retrieval might not be possible); and (iv) no refunds will be provided for any subscription fees or unused services, except where required by law or expressly provided in these Terms. If your account is terminated due to your violation of these Terms, you are not allowed to create a new account to circumvent the termination. SpecterAI may block your email, IP, or other identifiers to enforce this.

14.4 Surviving Provisions.

Any portion of these Terms which by their nature should survive termination (such as intellectual property rights, disclaimers of warranty, limitations of liability, dispute resolution, and indemnification) shall survive the expiration or termination of these Terms. For example, Sections 12.3 (license to SpecterAI), 16 (Disclaimers), 17 (Limitation of Liability), 18 (Indemnification), 19 (Dispute Resolution), 20 (Governing Law), and 21 (International Provisions) will remain in effect even after your access to the Service ends.

14.5 Program Discontinuation.

If SpecterAI, for any reason, decides to cease offering the Program or the entire Service to all users (for instance, if the company ceases operations or pivots to a different model), we will make reasonable efforts to notify you in advance. In such an event, we may terminate all user accounts as part of the shutdown. If this happens and you have an active subscription, we would provide a pro-rata refund for any remaining full months of service that were prepaid but not delivered, unless the circumstances (e.g., insolvency) prevent even that. Section 16’s disclaimers would still apply – we’re not liable for the decision to discontinue offering the Service, beyond the refund of prepaid fees as stated.

15. Disclaimers of Warranties

THE SPECTERAI SERVICE (INCLUDING ALL CONTENT, FEATURES, AND FUNCTIONS MADE AVAILABLE ON OR THROUGH THE SERVICE) IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPECTERAI (AND ITS AFFILIATES, SUPPLIERS, AND PARTNERS) DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, RELATING TO THE SERVICE AND YOUR USE OF IT. This includes, but is not limited to: any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from course of dealing or usage of trade. We make no promises or guarantees that the Service will meet your specific needs or expectations, achieve any particular result, be available on an uninterrupted, secure, or error-free basis, or that the content (including course materials, AI outputs, or user posts) is complete, accurate, or free of defects.

SpecterAI does not warrant or guarantee that you will successfully complete the Program, obtain a job or other outcome as a result of using the Service, or that the diploma will have any particular recognition or value. Any career or outcome-related information we provide (such as job statistics, if provided) is for informational purposes only and not a guarantee.

You understand that your use of the Service is at your own risk. You are responsible for any results or lack thereof from applying what you learn. SpecterAI is an educational tool, and while we strive to provide high-quality content, we do not guarantee perfection. For example, coding exercises might contain minor bugs, or an AI-generated explanation might be incorrect or outdated. We are not liable for any decisions you make or actions you take in reliance on information or content obtained from the Service.

Furthermore, while we take security seriously, we do not warrant that the Service will be free of viruses or other harmful components. You are responsible for implementing appropriate safeguards on your own systems (like antivirus software).

If you access third-party content or resources through the Service, SpecterAI makes no warranty regarding those third-party offerings — they are provided for convenience and their inclusion does not signify endorsement or assumption of responsibility.

Some jurisdictions do not allow the exclusion of certain warranties. If such laws apply to you, some of the above disclaimers may not apply to the extent prohibited. In that case, SpecterAI’s warranties will be limited to the minimum extent required by applicable law. SpecterAI does not disclaim any warranty or right that we are prohibited from disclaiming under law.

No advice or information (whether oral or written) obtained by you from SpecterAI or through the Service shall create any warranty not expressly stated in these Terms. You acknowledge that you use the Service at your own discretion and risk and that SpecterAI is not responsible for any damage to your property (including your computer system or mobile device or any data loss) that results from such use.

16. Limitation of Liability

16.1 Indirect Damages.

To the maximum extent permitted by law, in no event will SpecterAI or its parent company, affiliates, officers, employees, instructors, suppliers, or partners (collectively, the “SpecterAI Entities”) be liable to you for any indirect, incidental, special, consequential, or punitive damages whatsoever. This includes, without limitation, damages for loss of profits, loss of data, loss of goodwill, business interruption, computer damage, system failure, the cost of substitute products or services, or any other intangible losses, arising out of or related to your access to, use of (or inability to use) the Service, or the content therein, whether based on warranty, contract, tort (including negligence), or any other legal theory, and even if SpecterAI (or its representatives) has been advised of the possibility of such damages.

16.2 Direct Damages Cap.

To the fullest extent permitted by law, the total aggregate liability of the SpecterAI Entities for any and all claims arising out of or relating to these Terms or the use of (or inability to use) the Service shall be limited to the greater of: (a) the total amount of subscription fees you have paid to SpecterAI in the twelve (12) months immediately prior to the event or circumstance giving rise to your claim; or (b) US $100. If you have used the Service for less than 12 months, then the amount in clause (a) is the total fees paid for however many months you did subscribe. The existence of multiple claims or events will not enlarge this cap. This limitation applies cumulatively to all of your claims, meaning our total collective liability to you is capped in aggregate, not per incident.

16.3 Exceptions & Local Laws.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the limitation in Section 16.1 may not apply to you fully. Also, certain laws might not allow the exclusion or limitation of certain damages (for example, in some places liability for personal injury or willful misconduct cannot be limited). In such cases, our liability will be limited to the greatest extent permitted by law. Nothing in these Terms limits or excludes liability that cannot be limited by law, including (by way of example) liability for death or personal injury caused by negligence, gross negligence or intentional misconduct, or fraudulent misrepresentation.

16.4 Application of Limitations.

You agree that the limitations of liability and waivers in this Section 16 (and elsewhere in these Terms) are a reasonable allocation of risk between you and SpecterAI. These provisions are an essential basis of the bargain between us – SpecterAI would not be able to offer the Service on an economically feasible basis without these limitations. Each provision of this Terms that provides for a limitation of liability is intended to be severable and independent of any other provision and to be enforced as such. The limitations in this Section will apply even if any limited remedy fails of its essential purpose.

17. Indemnification

17.1 Your Agreement to Indemnify.

You agree to defend, indemnify, and hold harmless SpecterAI, its parent, affiliates, and their respective officers, directors, employees, contractors, instructors, licensors, and agents (the “SpecterAI Indemnitees”) from and against any and all claims, demands, suits, proceedings, losses, liabilities, damages, judgments, or costs and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to: (i) your use or misuse of the Service; (ii) your User Content, including any claim that content you submitted infringes or misappropriates third-party rights or violates applicable law; (iii) your violation of any term of these Terms or of any law or regulation; or (iv) your violation of any rights of a third party (such as other users, or any individuals whose personal data you have uploaded in violation of privacy rights). This indemnification obligation includes any claims arising from your intentional wrongdoing, negligence, or unauthorized use of the Service.

17.2 Indemnification Procedure.

If any SpecterAI Indemnitee becomes aware of a claim for which it seeks indemnification under Section 17.1, it will provide you with reasonably prompt notice of the claim (unless our failure to do so does not materially prejudice your ability to defend the claim). You will then promptly assume control of the defense and settlement of the claim as the indemnifying party. However, SpecterAI reserves the right, at its option and expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you. In that case, you agree to cooperate with our defense of such claim and you will not settle the claim without our prior written consent. If we do not exercise the option to control the defense, you shall not settle any claim without SpecterAI’s prior written approval if the settlement would impose any obligation on SpecterAI (other than monetary ones indemnified by you) or involves an admission of liability or wrongdoing by SpecterAI.

17.3 Continued Obligations.

Your indemnification obligations will survive any termination of your account or these Terms. SpecterAI will use reasonable efforts to inform you of any such claim, but our failure to do so will not excuse your obligations under this Section except to the extent you are materially prejudiced by that failure.

18. Dispute Resolution and Arbitration

Please read this section carefully. It affects your rights and will have a substantial impact on how claims you and SpecterAI have against each other are resolved.

18.1 Agreement to Arbitrate.

In consideration of the mutual promises contained in these Terms, you and SpecterAI agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service shall be resolved by binding arbitration on an individual basis, except for the exceptions stated in Section 18.2, rather than in court. This means you and SpecterAI are each waiving the right to a trial by jury or to participate in a class action lawsuit.

This agreement to arbitrate is governed by the U.S. Federal Arbitration Act and evidences a transaction in interstate commerce. Arbitration uses a neutral arbitrator instead of a judge or jury, is generally less formal than a lawsuit in court, and is subject to limited review by courts. The arbitrator can award the same damages and relief that a court can, but must honor the terms and limitations in these Terms.

18.2 Exceptions to Arbitration.

Notwithstanding the foregoing, either party may choose to pursue resolution in court and not by arbitration for the following types of disputes or claims: (a) claims that are individual in nature and within the jurisdictional limit of a small claims court (provided the claim remains in such court); (b) enforcement actions through applicable federal, state, or local agencies when such actions are available; (c) a request for temporary injunctive relief or other provisional remedies in aid of arbitration from a court of competent jurisdiction, in cases of urgency (e.g., a breach of intellectual property rights or unauthorized access to the Service); or (d) a lawsuit to compel arbitration, to seek confirmation of an arbitral award, or to vacate an award (but only if an award was obtained by fraud or other limited grounds under the Federal Arbitration Act). Furthermore, disputes concerning intellectual property rights (such as disputes over SpecterAI’s patents, copyrights, trademarks, or trade secrets) may, at the option of the party seeking relief, be resolved in court rather than arbitration.

18.3 Class Action Waiver.

All arbitrations (and any allowed court proceedings) under these Terms shall be conducted on an individual basis only. You and SpecterAI expressly waive the right to file or participate in any class action or collective proceeding or to seek relief on a class or representative basis. The arbitrator is only authorized to award relief on an individual basis to you or SpecterAI alone; the arbitrator cannot award relief to or against anyone who is not a party to the arbitration. The arbitrator may not consolidate or join more than one person’s or party’s claims, and may not otherwise preside over any form of a representative or class proceeding. If this class action waiver is found to be unenforceable or if an arbitration is allowed to proceed on a class basis, then the entirety of this Section 18 (Dispute Resolution and Arbitration) shall be deemed void (subject to the right to appeal any such determination). However, the rest of the Terms shall continue to apply.

18.4 Arbitration Procedures.

The arbitration will be administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules (the “AAA Rules”) as modified by these Terms. The AAA Rules are available online at www.adr.org or by calling the AAA. If AAA is unavailable or unwilling to handle the matter, the parties shall mutually select an alternative arbitration provider with similar rules. Unless you and SpecterAI agree otherwise, the arbitration will be conducted in English.

A single, neutral arbitrator will be appointed. The location of the arbitration will be in the U.S. county where you reside, or another location mutually agreeable to you and SpecterAI. If your claim is for US $10,000 or less, you may choose whether the arbitration will be conducted solely on the basis of documents submitted, through a telephonic or video appearance, or by an in-person hearing. If your claim exceeds $10,000, the determination of whether a hearing is necessary will follow the AAA Rules.

The arbitration filing fees and arbitrator’s fees will be governed by the AAA Rules. If the arbitrator finds that either the substance of your claim or the relief sought in your demand is frivolous or brought for an improper purpose (as measured by the standards of Federal Rule of Civil Procedure 11(b)), then the AAA Rules regarding fee shifting may apply. Otherwise, we will pay all filing, AAA, and arbitrator’s fees and expenses for any arbitration we commence or that you commence seeking less than $10,000, unless the arbitrator finds your claim frivolous or not in good faith. Each party shall bear the expense of its own attorneys’ fees, except as otherwise provided in these Terms (e.g., Section 17) or required by law (e.g., a statute allowing recovery of attorneys’ fees).

18.5 Notice and Commencing Arbitration.

A party who intends to seek arbitration must first send to the other party a written notice of the dispute. The Notice to SpecterAI should be sent via email to legal@specterai.ai. The Notice must describe the nature and basis of the claim or dispute and set forth the specific relief sought. We each agree to negotiate in good faith to resolve the claim directly, but if we do not reach an agreement within 30 days after the Notice is received, either party may commence arbitration. To initiate arbitration, you must follow the instructions in the AAA Rules and send a copy of the arbitration demand to SpecterAI at the address above.

18.6 Arbitrator’s Authority.

The arbitrator has the exclusive authority to decide all issues relating to the interpretation, applicability, enforceability, or formation of this agreement to arbitrate, including any claim that all or part of it is void or voidable, except as noted above regarding the class action waiver and intellectual property carve-out (judicial authority remains for those to the extent applicable law requires). The arbitrator will decide the rights and liabilities, if any, of you and SpecterAI. The arbitrator’s award will include the essential findings and conclusions upon which the arbitrator based the award. The arbitrator can award declaratory or injunctive relief only in favor of the individual party seeking relief (and only to the extent necessary to provide relief warranted by that party’s individual claim).

18.7 Confidentiality of Arbitration.

You and SpecterAI agree that any arbitration proceedings, including the arbitration hearing and any documents or briefs exchanged or produced during the arbitration, are confidential and will not be disclosed beyond the arbitration proceedings, except as may be necessary to prepare for or conduct the arbitration, or except as may be needed in subsequent proceedings between the parties (e.g., to enforce or challenge an award in court) or unless otherwise required by law.

18.8 Opt-Out Right.

If you do not wish to resolve disputes by binding arbitration, you may opt out of the provisions of this Section 18 by sending an email to legal@specterai.ai, within 30 days of first accepting these Terms (which is typically the date of your account creation). Your letter must include your full name, the email address associated with your SpecterAI account, and a clear statement that you want to opt out of arbitration (e.g., “I wish to opt out of the arbitration agreement”). If you opt out in accordance with this Section 18.8, neither you nor SpecterAI will be bound by the arbitration provisions of this agreement. Opting out of this arbitration agreement will not affect any other part of these Terms, including the provisions regarding governing law or the courts specified for any court proceedings (Section 20). If you do not opt out within the 30-day period, you and SpecterAI shall be bound by the arbitration terms of this Section.

18.9 Severability.

If any portion of this Dispute Resolution and Arbitration section is found to be unenforceable or unlawful (other than the class action waiver clause, which is addressed in Section 18.3), that portion shall be severed, and the remainder of this Section shall remain in effect. However, if the class action waiver (Section 18.3) is found to be invalid or unenforceable in its entirety, then this entire Section 18 shall be null and void, and in that case, the parties agree that the exclusive jurisdiction and venue described in Section 20 (Governing Law and Jurisdiction) shall govern any action arising out of or related to these Terms.

19. Governing Law and Jurisdiction

19.1 Governing Law.

These Terms and any dispute or claim arising out of or in connection with these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. However, as noted in Section 21, we recognize that certain consumer protection laws in your country of residence may apply for your benefit, and nothing in these Terms is meant to supersede those mandatory protections.

19.2 Jurisdiction and Venue.

Subject to the arbitration agreement in Section 18, you and SpecterAI agree that any judicial proceedings (if any) permitted under these Terms (including those pertaining to enforcing arbitration awards or falling under an exception to arbitration) will be brought in and subject to the exclusive jurisdiction of the state and federal courts located in California, specifically the state courts of California in Orange County or the United States District Court for the Central District of California. Both you and SpecterAI consent to the personal jurisdiction of those courts. We each waive any objection to venue in such courts, including claims that it is an inconvenient forum.

19.3 Injunctive Relief.

Notwithstanding the foregoing, SpecterAI may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information (as mentioned in Section 18.2). You agree that a breach of Sections 8 (Academic Integrity), 12.3 (License grant), or 13 (Intellectual Property) may cause SpecterAI irreparable harm for which money damages would not be an adequate remedy, and in such case SpecterAI is entitled to seek injunctive relief (without posting bond or proving damages) as necessary to stop or prevent the breach, in addition to any other available remedies.

19.4 Compliance with Local Laws.

SpecterAI is headquartered in the United States, and the Service is controlled and offered from the U.S. We make no representation that the Service or any of its content is appropriate or available for use in other locations. If you choose to access or use the Service from outside the U.S., you do so at your own initiative and are responsible for compliance with local laws, if and to the extent such laws are applicable. Access to the Service from jurisdictions where the content or practices of the Service are illegal or penalized is prohibited.

20. International Users; Special Terms by Jurisdiction

SpecterAI is a global service and welcomes users from around the world. However, different laws may apply to our contractual relationship with you depending on where you live. This Section provides some jurisdiction-specific notices and adjustments to the Terms. In the event of any conflict between this Section 20 and other provisions of these Terms, the provision that is more protective of the user (as determined by SpecterAI in its good faith discretion, or by a competent court) will apply, but only to the extent of the conflict.

20.1 European Union (EU), EEA, Switzerland, and UK Users.

GDPR and Privacy: SpecterAI will process your personal data in compliance with the EU General Data Protection Regulation (GDPR) (and equivalent laws in Switzerland and the UK). We act as the “controller” of your personal data as described in our Privacy Policy. We rely on several legal bases to process your data, such as processing necessary to perform the contract with you (provide the Service), our legitimate interests (e.g., improving our Service, preventing fraud), and your consent where applicable (e.g., for optional marketing communications). You have certain rights under GDPR, including the right to access, rectify, or erase your data, to restrict or object to our processing of it, and to data portability. You also have the right to lodge a complaint with a supervisory authority (data protection regulator) in the EU/EEA or with the UK Information Commissioner’s Office (ICO), as applicable. For details on how to exercise your rights or contact our Data Protection Officer (if applicable), please see the Privacy Policy. If you are located in the EU/EEA and use the Service, you acknowledge that your data will be transferred to and processed in the United States and possibly other jurisdictions outside your own. We will take appropriate measures to ensure lawful data transfers (such as implementing standard contractual clauses). By using the Service, you consent to this transfer, processing, and storage of your data outside your country of residence.

Right of Withdrawal (Cancellation Period): If you are a consumer in the EU/EEA or UK, you may have the legal right to withdraw from a subscription purchase within 14 days without giving any reason (this is sometimes known as the “cooling-off” period), pursuant to the EU Consumer Rights Directive or local implementing laws. However, please note that if you begin using the Service (e.g., by accessing course content or using lab credits) within the 14-day withdrawal period, you thereby consent to us providing the services immediately and you acknowledge that you lose your right to withdraw once the services have been fully performed (i.e., if you use the Service during this period). If you have not accessed the Service at all and wish to exercise this withdrawal right, you must inform us of your decision to withdraw by an unequivocal statement (e.g., an email to support@specterai.ai) within 14 days of your initial purchase. We will refund any subscription fees paid in such case within 14 days of receiving your withdrawal notice. If you partially used the Service and then withdraw, we may charge you a pro-rated amount for the portion of services provided up to the time you communicated your withdrawal.

Jurisdiction and Applicable Law: As noted in Section 19.1, Delaware law governs the Terms. However, if you are a consumer in the EU, EEA, or UK, you will also be afforded the protection of the mandatory provisions of the law of the country in which you reside. For example, if you reside in an EU country, you may invoke the consumer protection laws of that country to the extent those laws offer you stronger protections than U.S. law or these Terms. Likewise, any dispute arising under mandatory European consumer law may, at your option, be resolved in your home country’s courts. The European Commission provides an Online Dispute Resolution (ODR) platform for EU consumers: http://ec.europa.eu/consumers/odr. SpecterAI does not currently commit to use an alternative dispute resolution entity for EU consumer disputes unless required by law.

Arbitration for International Users: The agreement to arbitrate in Section 18 is intended to apply to you if enforceable. However, if you are a consumer residing in the EU/EEA or UK, the arbitration agreement and class action waiver may not apply to the extent they deprive you of mandatory protections under your local law (for example, you might have the right to bring a claim in the courts of your home country). In particular, nothing in these Terms (including Section 18) affects your right to have disputes resolved by the courts of your country of residence under EU Regulation 1215/2012 (Brussels I recast) or the UK Civil Jurisdiction and Judgments Act, where applicable. The class action waiver will apply to the maximum extent permitted by applicable law.

20.2 Canadian Users.

Quebec Consumers: The following provisions of these Terms shall not apply to Quebec residents (since such provisions are not allowed under Quebec law): (i) the disclaimer of warranties in Section 15 (to the extent it disclaims legal warranties); (ii) the limitation of liability in Section 16 for damages resulting from SpecterAI’s own acts; (iii) the arbitration agreement in Section 18 (Quebec consumers have the right to go to court); and (iv) any requirement under these Terms (such as in Section 5.7) that Quebec consumers waive their right to a refund or credit that is provided for by law. In addition, these Terms shall not be construed to limit the application of Quebec’s consumer protection legislation and regulations.

Language (Quebec): The parties confirm that it is their express wish that this Terms of Use Agreement and all related documents, including notices, be drawn up in English. Les parties confirment leur volonté expresse que la présente convention (“Terms of Use”) ainsi que tous les documents s’y rattachant, y compris tout avis, soient rédigés en langue anglaise.

Provincial Law: If you are a consumer, you may have rights under the consumer protection laws of your province or territory of residence. Those rights are in addition to any rights provided under these Terms. Nothing in these Terms is meant to limit or waive any such statutory consumer rights that cannot be limited or waived under applicable law.

Arbitration in Canada: The agreement to arbitrate in Section 18 does not apply to consumers in Quebec. For consumers elsewhere in Canada, it will apply if permitted by local law. SpecterAI acknowledges that provincial laws may impose requirements on arbitration agreements. In the event the arbitration clause is unenforceable under your local law, disputes shall be resolved in the courts specified in Section 19.2 unless local law requires otherwise.

20.3 Australia Users.

If you are in Australia, you may have rights under the Australian Consumer Law (ACL) that cannot be excluded. Nothing in these Terms is intended to exclude, restrict, or modify any consumer guarantee, right, or remedy that you may have under Schedule 2 of the Competition and Consumer Act 2010 (Cth) (the Australian Consumer Law), except as permitted by that law. To the extent that SpecterAI is allowed to limit its liability for breach of such guarantees, our liability is limited (at our option) to supplying the services again or paying the cost of having the services supplied again.

20.4 Other Jurisdictions.

We aim to make our Terms fair and clear, but if you live in a jurisdiction not explicitly referenced above, you may have certain statutory rights or protections under local law. We want to emphasize that nothing in these Terms is intended to limit any rights you have under local law that cannot be so limited by agreement. If any provision of these Terms is unenforceable in your jurisdiction, it shall be considered modified to the minimum extent necessary to comply with local law or, if modification is not possible, severed from the Terms, and the rest of the Terms shall remain in effect.

21. Miscellaneous

21.1 Entire Agreement.

These Terms, together with our Privacy Policy and any other policies or terms explicitly referenced and incorporated herein, constitute the entire agreement between you and SpecterAI relating to your use of the Service, and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter. Any additional terms (such as program-specific rules or honor code pledges) that we post or inform you of are hereby incorporated by reference. If there is a conflict between these Terms and any additional terms for a specific feature or program, the additional terms will govern for that conflict, unless the additional terms state otherwise.

21.2 Modification of Terms.

SpecterAI may update or revise these Terms from time to time. If we make material changes, we will notify you by email (to the address on your account) or by posting a notice through the Service, or by other reasonable means. The notice will designate a reasonable advance effective date for the changes. If you do not agree to the revised Terms, you must stop using the Service before the new Terms take effect. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of those changes. We encourage you to review the Terms periodically. The “Last Updated” date at the top indicates when the Terms were last changed. We may also ask you to affirmatively accept material changes at the next login.

21.3 No Waiver.

No failure or delay by SpecterAI in exercising any right, power, or privilege under these Terms shall operate as a waiver of such right or any other rights under these Terms, nor shall any single or partial exercise of any right or power preclude further exercise of that or any other right. A waiver of compliance in one instance does not mean that SpecterAI will waive compliance in the future. To be effective, any waiver of these Terms must be made by SpecterAI in a signed writing.

21.4 Severability.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. The invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the greatest extent permitted by law. If such modification is not possible, the provision will be severed from these Terms, but the rest of the Terms shall remain in effect.

21.5 Assignment.

You may not assign or transfer these Terms (or any of your rights or obligations hereunder) without SpecterAI’s prior written consent. Any attempted assignment without such consent will be null and void. SpecterAI may freely assign or transfer these Terms or any of its rights or obligations, in whole or in part, without notice to you (for example, in the event of a merger, acquisition, sale of assets, or by operation of law). These Terms shall bind and inure to the benefit of the parties, their successors, and permitted assigns.

21.6 Third-Party Beneficiaries.

Except as explicitly provided in Section 21.7 below (regarding app store providers), there are no third-party beneficiaries to these Terms. These Terms do not confer any rights or remedies on any person other than you and SpecterAI and each party’s respective successors and permitted assigns.

21.7 Mobile App Distribution Platforms.

Apple iOS Devices: If you download and use our app on an Apple iPhone or iPad, you acknowledge that these Terms are an agreement between you and SpecterAI, not with Apple Inc. (“Apple”). Apple has no responsibility for the app or its content. If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund any purchase price (if any) for the app; to the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the app. Apple is not responsible for addressing any claims by you or any third party relating to the app or your possession and/or use of the app, including but not limited to: (i) product liability claims; (ii) any claim that the app fails to conform to any legal or regulatory requirement; (iii) claims arising under consumer protection or similar legislation; or (iv) claims that the app infringes a third party’s intellectual property rights. You agree to comply with the App Store Terms of Service. You acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms as it relates to your use of the iOS app, and that Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

Google Play Devices: If you download our app through Google Play, you acknowledge that Google has no responsibility or liability related to compliance or non-compliance by SpecterAI or by you (or any other user) under these Terms. You must comply with Google Play’s terms of service. Google is not a party to these Terms and has no obligation to provide maintenance or support services for the app. However, Google and its affiliates are third-party beneficiaries of these Terms as it relates to the use of the app via Google Play. This means Google may enforce these Terms against you in its capacity as a third-party beneficiary.

Other Platforms: For any other app store or platform from which you download our app, the respective platform provider shall have no liability or obligation to you regarding the app, and you agree to comply with that platform’s terms and policies when using the app. Any licenses granted herein for mobile apps are conditioned upon your compliance with applicable platform usage rules.

21.10 Export Controls.

You represent that you are not located in or a national of any country that is subject to U.S. trade sanctions or embargoes (currently, for example, Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, and Luhansk regions of Ukraine), and that you are not on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export and import control laws in your use of the Service. Software available in connection with the Service may be subject to U.S. export control laws, including the U.S. Export Administration Regulations. You shall not, directly or indirectly, export, re-export, or transfer any portion of our Service to any prohibited country or individual, or permit use of the Service by any such country or individual.

21.11 Force Majeure.

SpecterAI will not be liable for any delay or failure to perform its obligations hereunder if such delay or failure is due to causes beyond its reasonable control, such as acts of God, natural disasters, war, terrorism, civil disturbances, labor disputes, electrical or telecommunication outages, pandemics or epidemics, or other similar events.

21.12 Headings and Interpretation.

Section headings in these Terms are for convenience of reference only and have no legal effect. Words like “including” or “includes” shall be interpreted as “including without limitation.” The word “or” is disjunctive but not necessarily exclusive. These Terms were prepared in English and the English version shall control to the extent of any translations (subject to Section 20.2 for Quebec).
